Transaction Services Manager

What we do:

• Buy-side financial due diligence on targets for leading international corporate and Private Equity firms on large and medium M&A transactions or mergers
• Vendor due diligence for companies up for sale
• Due diligence assistance in IPOs
• Analysis of target companies’ business plans in light of due diligence findings
• Supporting clients in share-purchase agreements drafting and negotiations
• Assistance in business restructuring processes

Responsibilities

• Project manager on complex transaction services assignments, mostly, due diligence in the framework of M&A deals;
• Analyze historical business performance, key performance indicators trends and understand the business drivers
• Understand the companies’ financial position, leverage and other balance sheet exposures
• Understand the major differences between company’s statutory financial statements, management accounts and IFRS / US GAAP; their impact on transaction
• Analyze the sustainable profitability and normal financial position, advise how the results should be used in valuation
• Advise on treatment of due diligence findings in valuation and negotiations, deal documents
• Analyze the quality of the business plan in light of the due diligence findings
• Communicating with clients, collecting information, conducting detailed financial analysis, and reporting on findings;
• Preparing presentations and pitch materials;
• Preparing draft contracts, risk management and other project-related documents;
• Coaching and supervising junior staff;
• Being involved in business development activity, showing initiative in building relationships with clients.

Requirements

• Degree from a leading Universities in Azerbaijan or International University;
• At least 5-6 years’ experience in audit and transaction services (Big4 is a plus);
• Knowledge of accounting standards and IFRS is a must;
• Understanding of financial modelling is an advantage
• ACCA/CPA (at least half of the papers passed);
• Business writing skills in English and fluent Azeri, English, Russian (written and spoken);
• Excellent written and verbal communication skills. Strong communication skills, ability to interview people at the middle level in organizations (Chief accountant, operational heads)
• Effective team player;
• Strong strategic thinking skills and sound commercial acumen, pragmatic and logical approach to analysis and problem solving;
• Personal drive to deliver results within tight deadlines;
• Strong interpersonal skills;
• Flexible approach to working, including ability to multi-task and to work in teams with flat structures
• Proven ability to acquire new skills quickly
