Requirements:

- Extensive professional experience with significant executive leadership accomplishments in business, government, of nonprofit sector
- Demonstrated success as a nonprofit board member or board chair
- Excellent written and oral communication skills coupled with natural affinity for public speaking

Responsibilities:

-  to provide independent advice and counsel to the CEO;
-  to keep abreast generally of the activities of the Company and its management;
-  to recommend an annual schedule of the date, time and location of meetings;
-  to call special meetings, where appropriate;
